By accessing or using Kaisha ("the Service"), operated by Pantopix ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Kaisha is a resource management platform that enables organizations to track projects, team allocations, budgets, and generate reports. The Service is provided on a subscription basis.

3. User Accounts

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized use of your account
  • You are responsible for all activities that occur under your account
  • One person or organization may not maintain multiple free accounts

4. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload or transmit viruses, malware, or other malicious code
  • Use the Service to send spam, bulk messages, or automated queries
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or redistribute the Service without authorization

5. Payment Terms

  • The Service offers a 30-day free trial for new organizations
  • After the trial period, continued use requires a paid subscription
  • Subscription fees are billed monthly based on active users
  • All fees are non-refundable except as required by law or as explicitly stated
  • We reserve the right to change pricing with 30 days notice
  • Failure to pay may result in suspension or termination of your account

6. Your Data

  • You retain ownership of all data you upload to the Service
  • You grant us a license to use your data solely to provide the Service
  • You are responsible for ensuring you have the right to upload and use the data
  • We will not access your data except to provide support or as required by law
  • Upon account termination, your data will be retained for 90 days before deletion

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of scheduled maintenance.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PANTOPIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Termination

  • You may terminate your account at any time through the account settings
  • We may suspend or terminate your account for violation of these terms
  • We may terminate the Service with 30 days notice to all users
  • Upon termination, your right to use the Service immediately ceases
  • Sections regarding liability, disclaimers, and governing law survive termination

11. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Romania.
